Century Announces Board Election and Audit Reappointments

Century Global Commodities Corporation (TSX: CNT), a resource exploration and development company, announced the results of its 2026 Annual General and Special Meeting of shareholders held on September 22, 2026 in Hong Kong, China. The meeting saw a high level of shareholder participation, with 85.335% of the company's outstanding shares voting. The meeting confirmed the size of the Board of Directors at nine members, elected the Board of Directors, re-appointed Mao & Ying LLP as the Company's auditors for the upcoming year, and re-approved the Company's Equity Incentive Plan and all unallocated awards thereunder, as required by the Toronto Stock Exchange every three years.
The number of directors for the ensuing year was set at nine (9), with all nominees serving as directors until the Company's next annual meeting of shareholders. The shareholders also re-appointed Mao & Ying LLP, Chartered Professional Accountants, as auditors for the 2026-2027 financial year. Additionally, the shareholders re-approved the Company's Equity Incentive Plan, which was adopted based on resolutions set out on page 37 of the Company's Management Information Circular dated August 10, 2026.
The Joyce Lake Direct Shipping Iron Ore Project, the Company's most advanced project, is an open pit direct shipping iron ore project located in Newfoundland and Labrador, close to the town of Schefferville, Quebec. The Project has completed an updated feasibility study in 2022 and is currently undergoing environmental assessment. Joyce Lake is held in a special purpose vehicle, Joyce Direct Iron Inc. ("JDI"), in which Century owns approximately 90% of the shares.
Century Food, a subsidiary of the Company, operates a value-adding marketing and distribution business of quality food products sourced from high-quality regions such as Europe and Australia for the Hong Kong and Macau markets. The business was created as a counter-cyclical business at the bottom of the Super Cycle in 2015 to generate profit and cash to supplement the metals business.
The Joyce Lake Direct Shipping Iron Ore Project is expected to have significant resource and reserve estimates, with capital costs, operating costs, production rates, mine life, net present value, and rates of return estimates completed in the updated feasibility study. The project is also expected to require additional work to comply with provincial environmental impact assessment guidelines, and the Company anticipates entering into benefit agreements with First Nations and the Government of Newfoundland and Labrador. The timeline for completing the environmental impact statement process by JDI is expected to be approximately 12 months. JDI is also expected to meet all federal and provincial environmental impact statement requirements and ultimately secure the required environmental permitting. The Company anticipates that JDI will list its common shares on an exchange, although there is no assurance of this outcome.
