Capgemini SE, a global organization of over 410,000 team members in more than 50 countries, has announced a significant move to neutralize the dilutive impact of its thirteenth Employee Share Ownership Plan (ESOP). The company entered into a share buyback agreement with an investment services provider on October 6, 2026, to repurchase up to 3.0 million of its own shares at an average buyback price of 200 euros per share. This transaction, which is part of the €2 billion multi-year envelope announced on July 30, 2025, and authorized by the Shareholders’ Meeting of May 20, 2026, will take place before December 17, 2026, the date on which the capital increase will become effective.
The share buyback is designed to neutralize the shareholder dilution resulting from the capital increase, which will see employee shareholding increase by a maximum of 3.0 million shares (representing 1.77% of existing share capital). This transaction, which is part of the €2 billion multi-year envelope announced on July 30, 2025, and authorized by the Shareholders’ Meeting of May 20, 2026, will take place before December 17, 2026, the date on which the capital increase will become effective. The proceeds from this ESOP plan will be allocated in advance to the repurchase of existing shares, ensuring that the dilution impact is mitigated.
The announcement on September 10, 2026, of the launch of this ESOP plan and the decision by Capgemini SE's Board of Directors to authorize a dedicated share buyback envelope, distinct from the €2 billion multi-year envelope, underscores the company's commitment to its employees and its ongoing efforts to align employee interests with those of shareholders. This move is expected to have no material impact on the Group's cash position and will not significantly dilute existing shareholders.
The company, which reported 2025 revenues of €22.5 billion, is a responsible and diverse global organization dedicated to transforming how enterprises operate, innovate, and grow. Capgemini's unique end-to-end capabilities in strategy, technology, engineering, and intelligent operations, combined with its market-leading capabilities in AI, cloud, and data, are at the heart of its success.
