Bronstein, Gewirtz & Grossman, LLC, a nationally recognized investor-rights law firm, has filed a class action lawsuit against The Simply Good Foods Company (NASDAQ: SMPL) and certain of its officers. The lawsuit seeks to recover damages for alleged violations of the federal securities laws on behalf of all persons and entities that purchased or otherwise acquired Simply Good Foods securities between October 24, 2024, and August 8, 2026, inclusive.
According to the complaint, the lawsuit alleges that throughout the class period, Simply Good Foods made materially false and misleading statements and/or failed to disclose several key issues. The allegations include:
- The loss of key managerial personnel following the acquisition of Only What You Need, Inc. (OWYN), which impaired Simply Good Foods' ability to achieve the strategic initiatives and financial and operational targets of the acquisition. - An increase in general and administrative spending to compensate for the loss of key managerial personnel, leading to an inefficient and bloated organizational structure and the lack of clear strategic priorities for the OWYN segment. - The addition of a new pea protein supplier for OWYN formulations prior to the acquisition, which created significant product quality issues, negatively impacting the taste, texture, and shelf-life of OWYN products. This led to negative product reviews, depressed consumer sales, and the loss of important distributor relationships. - Short-term promotional efforts to boost sales for OWYN products, which eroded margins and failed to achieve the desired sales turnaround. - Cutting brand support and marketing for OWYN to stem margin erosion, further depressing product sales and business and operational results.
Peretz Bronstein, Esq., founding partner of Bronstein, Gewirtz & Grossman, LLC, commented, "Throughout the class period, Simply Good Foods failed to properly manage its acquisition of OWYN, leading to significant operational and financial issues. Our firm is committed to holding companies accountable for their actions and ensuring that investors are fairly compensated."
