RESTON, Va., Sept. 14, 2026 /CourierPR/ -- Bowman Consulting Group, a national engineering services and program management firm, announced the expiration of the "go-shop" period under the terms of its merger agreement with entities affiliated with Bernhard Capital Partners. The agreement, which will see Bowman acquired in an all-cash transaction for $43.00 per share, is expected to close in the fourth quarter of 2026, subject to approval by Bowman shareholders, receipt of required regulatory approvals, and satisfaction of other customary closing conditions.

During the 35-day "go-shop" period, Bowman and its financial advisor, BofA Securities, actively solicited inquiries from a wide range of potentially interested third parties. The company contacted 76 potentially interested parties and entered into confidentiality agreements with eight of them. Despite these efforts, no alternative acquisition proposals were received prior to the expiration of the "go-shop" period.

The merger agreement, signed on August 10, 2026, values Bowman at approximately $1.0 billion, representing a 58% premium to its unaffected closing share price on August 7, 2026, and a 57% premium to its 30-day volume-weighted average share price. Bowman, headquartered in Reston, Virginia, operates through over 2,500 employees and 100 offices across the United States, providing a range of services including planning, engineering, geospatial, construction management, commissioning, environmental consulting, and land procurement.

The transaction is subject to several conditions, including the approval of Bowman shareholders, receipt of necessary regulatory approvals, and the satisfaction of other customary closing conditions. Bowman's shareholders will be asked to vote on the merger at a special meeting, with the company's proxy statement expected to be filed with the Securities and Exchange Commission (SEC) once the SEC completes its review.
