BioStem Technologies Secures $40 Million Committed Equity Facility

POMPANO BEACH, Fla., Sept. 18, 2026 /CourierPR/ -- BioStem Technologies, Inc., a leading regenerative medicine company focused on the development, manufacturing, and commercialization of perinatal tissue allograft products, has secured a significant financial boost through the establishment of a $40 million Committed Equity Facility (CEF). This agreement, entered into with Roth Principal Investments, LLC, an affiliate of CR Financial Holdings, Inc., the holding company for Roth Capital Partners, marks a substantial step in the company’s strategic growth and operational expansion.

The CEF allows BioStem to issue and sell up to $40 million of its common stock to Roth, at its discretion, through a private placement. However, the company is not obligated to utilize the full amount. The sale of shares will be subject to certain conditions, including the filing and effectiveness of a registration statement that will enable the resale of the issued shares. The registration statement is expected to be filed with the U.S. Securities and Exchange Commission (SEC).

BioStem intends to use the net proceeds from the CEF for working capital and general corporate purposes. The company may access capital opportunistically over time, with no immediate obligation to utilize the full amount available under the CEF. The CEF includes an Exchange Cap, which restricts the number of shares that can be issued to Roth to not exceed 19.99% of the shares outstanding immediately prior to the execution of the Purchase Agreement. This cap can be exceeded only if the company obtains shareholder approval or if the average price per share paid by Roth equals or exceeds the applicable minimum price under Nasdaq rules.

In connection with the Purchase Agreement, BioStem and Roth have entered into a registration rights agreement. This agreement obligates BioStem to file a registration statement with the SEC to register the resale of the shares issuable under the Purchase Agreement. These securities may not be resold until the registration statement is filed and becomes effective.
