Biomea Fusion Announces Public Offering of Securities

SAN CARLOS, Calif., Sept. 22, 2026 /CourierPR/ -- Biomea Fusion, Inc., a clinical-stage diabetes and obesity company, has announced plans for a public offering of securities. The company intends to sell shares of its common stock and, in certain cases, pre-funded warrants to purchase shares of its common stock. Biomea Fusion is also granting the underwriter a 30-day option to purchase up to an additional 15% of the total number of shares of common stock and pre-funded warrants in the proposed offering.

The proposed offering is subject to market and other conditions, and there is no guarantee that it will be completed or that the terms will remain as anticipated. The offering is being made pursuant to an effective shelf registration statement on Form S-3 (File No. 333-289262), filed with the U.S. Securities and Exchange Commission (SEC) on August 5, 2025, and declared effective on August 15, 2025.
