These grants, awarded on September 1, 2026, under the company's 2026 Inducement Plan, serve as a material inducement to employment.
The company granted a total of 380,575 non-qualified stock options to its employees, including 275,000 shares to Gregory Shiferman, who was recently appointed as the Chief Legal Officer. Each option entitles the holder to purchase one share of Bicara’s common stock, with a par value of $0.0001 per share. The exercise price for these options is set at $23.42 per share, reflecting the closing price of Bicara’s common stock on Nasdaq on the grant date.
The vesting schedule for these options is structured such that one-fourth of the options will vest on the first anniversary of the employee’s start date, with the remaining options vesting in 12 equal quarterly installments thereafter, contingent upon the employee’s continued service with the company.
Bicara Therapeutics’ 2026 Inducement Plan, adopted by the company’s board of directors in January 2026, authorized these grants. The compensation committee, composed entirely of independent directors, approved the awards as a key part of Bicara’s strategy to attract top talent. The inducement grants align with Nasdaq Listing Rule 5635(c)(4), which permits the issuance of equity awards outside of the company’s existing stockholder-approved plans.
Bicara Therapeutics’ lead program, ficerafusp alfa, is a first-in-class bifunctional antibody designed to enhance the treatment of solid tumors. The therapy combines an epidermal growth factor receptor (EGFR) directed monoclonal antibody with a domain that binds to human transforming growth factor beta (TGF-β). By reversing the fibrotic and immune-excluded tumor microenvironment driven by TGF-β signaling, ficerafusp alfa is aimed at enabling deeper and more durable tumor penetration, particularly in head and neck squamous cell carcinoma, where there remains a significant unmet medical need. The company is also evaluating ficerafusp alfa in other solid tumor types.
