OKLAHOMA CITY, Sept. 17, 2026 /CourierPR/ -- Bank7 Corp., a leading financial institution based in Oklahoma City, announced its plans to acquire Century Financial Services Corporation, a Santa Fe, New Mexico-based bank holding company, in a move that will significantly expand its presence in the Southwest region. The acquisition, valued at approximately $136.9 million, is expected to close in the fourth quarter of 2026, subject to regulatory approvals and other customary closing conditions.

According to the terms of the agreement, Bank7 will acquire 100% of the outstanding common stock of Century Financial Services Corporation. Upon completion, the transaction will create a combined Southwest banking organization with approximately $3.3 billion in total assets, integrating Bank7's high-performing franchise with Century's long-established New Mexico deposit franchise. The acquisition is anticipated to extend Bank7's footprint into an attractive and neighboring market, while adding a stable, legacy core deposit base.

Founded in 1887, Century Bank is one of the last remaining independent banks headquartered in New Mexico and the second-largest bank based in the state. The bank operates eight branches across New Mexico and two loan production offices in Dallas and Houston, Texas. Century Bank serves its markets through a relationship-driven, "local-first" community banking model, focusing on personalized, high-touch service to business owners and entrepreneurs.

Bank7's President and CEO, Thomas L. Travis further elaborated on the strategic rationale behind the acquisition, highlighting the premier legacy, core deposit franchise of Century Bank and its attractive market extension into New Mexico.

Max Myers, CEO of Century Bank, echoed the sentiment, emphasizing the potential benefits of the partnership.

The transaction is expected to proceed through a Merger Agreement, with each outstanding share of Century common stock being converted into the right to receive a pro rata portion of aggregate consideration consisting of $70 million in cash and 1,232,657 shares of Bank7 Corp. common stock. Based on 332,683 shares of Century common stock outstanding, this would equate to $210.41 in cash and 3.7052 shares of Bank7 Corp. common stock per Century share.

Bank7 intends to retain the Century Bank name and brand image, ensuring a seamless transition for customers. The company is supported by Keefe, Bruyette & Woods, A Stifel Company, as its financial advisor, and Nelson Mullins Riley & Scarborough LLP as its legal counsel. The transaction is subject to approval by Century's shareholders, receipt of all required bank regulatory approvals, and the satisfaction of customary closing conditions.
