NASSAU, Bahamas, Oct. 19, 2026 /CourierPR/ -- The Commonwealth of The Bahamas has announced an offer to purchase its outstanding series of notes, effective from October 19, 2026, and set to expire on October 27, 2026. The offer, detailed in the Offer to Purchase dated October 19, 2026, aims to buy back the following series of notes: the 6.000% Notes due 2028, the 9.000% Notes due 2029, the 6.950% Notes due 2029, and the 7.125% Notes due 2038. These notes are admitted to trading on the Euro MTF Market of the Luxembourg Stock Exchange, with the 6.625% Notes due 2033 listed on the Luxembourg Stock Exchange.
The purchase price for each series of notes will be determined by the Government in its sole discretion, not including interest accrued and unpaid thereon. Holders of the notes will also receive any accrued and unpaid interest from, and including, the last applicable interest payment date for such notes up to, but excluding, the Settlement Date, which is expected to occur on October 29, 2026.
For the 6.950% Notes due 2029, the 6.625% Notes due 2033, and the 7.125% Notes due 2038, the Government will pay a processing fee to brokers acting on behalf of certain holders. This fee, payable only for individual tenders of up to U.S.$250,000 aggregate principal amount of notes per holder, will be 0.25% of the principal amount of such tendered notes that are accepted in the offer.
Holders can tender notes in the principal amount equal to the minimum authorized denomination of such series as set forth in the Offer to Purchase, or an integral multiple of U.S.$1,000 in excess thereof. Holders who tender less than all of their notes must continue to hold notes in at least the minimum denomination of such series of notes.
The offer is not conditioned upon any minimum participation of any series of notes but is conditioned, among other things, on the concurrent (or earlier) closing of an issuance of new global notes, in an aggregate principal amount sufficient to fund the offer, with pricing and on terms and conditions acceptable to the Government in its sole discretion. The new notes offering is being made solely by means of an offering memorandum, and neither this announcement nor the Offer to Purchase constitutes an offer to sell or the solicitation of an offer to buy the new notes.
The offer commenced on Monday, October 19, 2026, and, unless extended or earlier terminated by the Government in its sole discretion, will expire at 5:00 p.m. (New York City time) on Tuesday, October 27, 2026. Holders who have validly tendered their notes may withdraw such notes at any time at or prior to the Expiration Time. The settlement of the offer is expected to occur on October 29, 2026.
At or about 9:00 a.m. (New York City time) on Wednesday, October 28, 2026, the Government expects to announce the aggregate principal amount of tenders of each series of the notes that have been received on or prior to the Expiration Time. At or about 5:00 p.m. (New York City time) on the same day, the Government will announce its decision on whether to accept valid tenders of notes pursuant to the offer, the maximum purchase price for each series, the tendered aggregate purchase price for each series, the aggregate principal amount of tenders of each series of notes that have been accepted, and any proration factor of tenders of the notes for each series.
