Auranova Resources Announces Private Placement Offering

Vancouver, British Columbia, Auranova Resources Inc. has announced a non-brokered private placement of up to 3,333,333 common shares in the capital of the company issued on a flow-through basis (each, a "FT Share") at a price of $0.30 per FT Share and up to 12,000,000 units (each, a "Unit") of the company issued on a hard-dollar basis at a price of $0.25 per Unit, for aggregate gross proceeds of up to $4,000,000 (the "Offering").

Each Unit will consist of one common share in the capital of the company (each, a "Common Share") and one-half of one Common Share purchase warrant (each whole warrant, a "Warrant") of the company. Each Warrant will entitle the holder thereof to acquire one Common Share at a price of $0.50 per Common Share for a period of one (1) year from the closing of the Offering.

The company may pay certain eligible persons a cash commission equal to 6% of the gross proceeds of the Offering. All securities issued pursuant to the Offering will be subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation. The closing of the Offering is subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory and other approvals, including the approval of the TSX Venture Exchange.

The Qualifying Expenses will be renounced in favour of the subscribers with an effective date no later than December 31, 2026.
