Athena Gold Completes Amalgamation to Streamline Operations

Athena Gold Corporation has completed a significant corporate restructuring aimed at enhancing operational efficiency and streamlining its business structure. On September 10, 2026, the company successfully amalgamated with its wholly-owned subsidiary, Last Bounty Gold Corp., under section 273 of the Business Corporations Act (British Columbia).
The amalgamation, which was completed to simplify the company’s corporate structure, reduce administrative and compliance costs, and strengthen operational efficiency, did not result in any changes to the Company’s name or share capital. The assets, liabilities, and obligations of the subsidiary were assumed by the Company, and all issued and outstanding shares of the Subsidiary were cancelled.

Athena Gold Corporation remains focused on exploring and developing mineral properties across North America. Its current projects include the Laird Lake project in the Red Lake Gold District of Ontario, the Forester project in northwestern Ontario, and the Excelsior Springs project in Nevada. Recent exploration efforts at the Laird Lake project have yielded promising results, with the discovery of high-grade, near-surface gold.
The company’s Laird Lake project, covering more than 7,000 hectares, is situated along the Balmer-Confederation Assemblage contact, an area known for its gold potential. The project is located about 10 km west of West Red Lake Gold's Madsen mine and 34 km northwest of Kinross Gold's Great Bear project. Similarly, the Forester project, a 14,930-hectare land package, is situated less than 30 km southeast of Equinox Gold's Musselwhite Gold Mine, with historical drill intercepts showing strong potential for both high-grade and low-grade gold mineralization.
In Nevada, the Excelsior Springs project, spanning over 2,500 hectares, includes at least three historic mines and is under an earn-in option with Mammoth Minerals Limited. The company is currently conducting additional exploration drilling and studies on its projects to further assess their potential.
With the completion of this amalgamation, Athena Gold Corporation continues to pursue its objectives of locating and developing economic precious and base metal properties, conducting additional exploration drilling, and advancing its projects in North America.
