Armory Mining Corp. Announces Share Consolidation Reducing Outstanding Shares

Armory Mining Corp. has announced a significant share consolidation, reducing the number of outstanding shares from the current 108,454,924 to approximately 21,690,984, subject to rounding. This consolidation is effective at the opening of trading on October 6, 2026.

The company’s board of directors approved the share consolidation, which will see one post-consolidation common share issued for every five pre-consolidation common shares. As a result, the number of shares will be reduced to approximately 21,690,984, with no fractional shares issued. Any fractional shares remaining after the conversion will be rounded either up or down to the nearest whole number. Shares that are less than half a share will be cancelled, while those that are at least half a share will be changed to one whole share.

The exercise price and number of shares issuable pursuant to any outstanding convertible securities, including incentive stock options, warrants, and restricted share units, will also be adjusted in accordance with the consolidation ratio. Registered shareholders who hold shares represented by a physical certificate will receive a letter of transmittal from the transfer agent, Endeavor Trust Corporation, with instructions on how to exchange their existing certificates for certificates representing post-consolidation shares. No action is required by registered shareholders who hold their shares in book-entry form or by non-registered shareholders who hold their shares through an intermediary.

The company name and trading symbol will remain unchanged after the consolidation. The new CUSIP number will be 042279208, and the new ISIN number will be CA0422792089 for the post-consolidation shares.
