Atsinaujinančios energetikos investicijos (AENI), a Lithuanian energy investment company, is convening a meeting of its note holders to address a timing mismatch between the company’s expected cash flows and the maturity date of its notes. The meeting, to be held on November 12, 2026, at 10:00 EET (Vilnius time), is aimed at extending the maturity date of the notes from December 4, 2026, to December 4, 2027. Additionally, the annual interest rate on the notes will be increased to 10 percent for the extended period, from December 5, 2026, to December 4, 2027, or until the notes are redeemed earlier.

The decision to convene the meeting was made on October 20, 2026, by the trustee of the note holders, CSC (Sweden) AB. The company’s ongoing divestment processes are expected to yield proceeds that do not align with the current maturity date of the notes. To better align the redemption date with the projected cash flow schedule, AENI is proposing these amendments to the terms and conditions of the notes.

AENI has invited note holders to participate in webinars on October 29, 2026. The webinars will be conducted in both Lithuanian and English, with the Lithuanian session scheduled for 10:00 (EET, Vilnius time) and the English session at 11:00 (EET, Vilnius time). These webinars will provide an opportunity for the company’s management to present the proposed amendments and answer any questions from the note holders.

The proposed amendments have not yet been approved and are subject to the resolutions of the meeting. If approved, the existing terms and conditions of the notes will remain in force until the meeting’s decisions are implemented.
