Adia Med Inc., a regenerative medicine company based in Winter Park, Florida, has announced a significant business move by selling a 30% interest in Adia Labs LLC to Live Oak Health, doing business as QCM Biologics, for $1.5 million. The transaction, which was filed with the Securities and Exchange Commission on September 30, 2026, marks a strategic partnership that will see QCM Biologics become another distributor of Adia Labs products.

According to the terms of the deal, Adia Med Inc. will receive $1.0 million in cash and a $500,000 promissory note payable to Adia Labs. Following the sale, Adia Med retains a 70% ownership interest in Adia Labs. Live Oak Health, through QCM Biologics, also has the option to acquire an additional 10% stake in Adia Labs for $500,000 over the next two years.

The distribution arrangement is designed to provide Adia Med with an outside distribution channel, rather than requiring the company to build its own coverage.

Adia Med Inc. operates through its Adia Med clinics, which deliver stem cell treatments alongside complementary services like platelet-rich plasma (PRP), therapeutic plasma exchange (TPE), and autologous hematopoietic stem cell transplantation (aHSCT). The company's current studies are targeting autism spectrum disorder, chronic kidney disease, and lower back pain, with more planned for 2026. Adia Labs, a division of Adia Med Inc., generates revenue by manufacturing and selling regenerative products (AdiaVita and AdiaLink) to Adia Med clinics and external providers.

The deal is intended to add an outside distribution channel to Adia Med's operations, allowing the company to focus on its core clinical work while expanding its product reach. Adia Med Inc. is committed to advancing regenerative medicine through its active, IRB-approved clinical studies and its Adia Labs division, which manufactures regenerative products for use in its clinics and external providers.
