AB SKF Proposes Listing of SKF Vertevo on Nasdaq Stockholm

GOTHENBURG, Sweden, Sept. 7, 2026 /CourierPR/ -- AB SKF has decided to propose the distribution and listing of its Automotive business, SKF Vertevo, on Nasdaq Stockholm. This move is part of the company’s strategic separation, aiming to unlock the full potential of both AB SKF and SKF Vertevo by operating as independent, focused entities.

The Board of Directors of AB SKF has convened an Extraordinary General Meeting (EGM) to be held on October 1, 2026. At this meeting, shareholders will be asked to approve the distribution and listing of SKF Vertevo. If approved, the listing is expected to occur on December 1, 2026. The strategic rationale for this separation is rooted in the different business models, end markets, and success drivers of AB SKF and SKF Vertevo. As standalone companies, each entity is expected to sharpen its strategic focus, allocate capital according to its own priorities, and enhance its ability to create value for customers and shareholders.

Hans Stråberg, Chair of AB SKF’s Board of Directors, expressed the company’s optimism about the benefits of this separation. "The proposed distribution and listing of SKF Vertevo marks another important milestone in the separation of the Automotive business," said Stråberg. "Creating two independent, focused companies will support accelerated profitable growth and long-term value creation, benefiting customers, employees, and shareholders."

The operational separation of the Automotive business has already been completed, with the business now operating as a standalone entity within the AB SKF Group. The Board and management team of the future SKF Vertevo have been established, marking the final preparations for the business to operate independently. Key appointments include Håkan Buskhe, who has been elected as Chair of the Board of Directors of SKF Vertevo. The other shareholder-elected Board members are Therese Friberg, Hock Goh, Philip Ahlgren, Jumana Al-Sibai, Ebba Bonde, Maria Hemberg, and Kerstin Enochsson.

Additionally, Therese Friberg and Hock Goh have decided to resign from the Board of Directors of AB SKF. The distribution of shares in SKF Vertevo is expected to comply with the "Lex Asea" rules, which means it will not be immediately taxable for individuals and limited liability companies that are Swedish tax residents.

This strategic move is part of AB SKF’s ongoing efforts to enhance its focus and drive growth in the automotive sector through a more specialized company. The company’s leadership believes that this separation will enable both entities to capitalize on their unique strengths and pursue independent growth strategies.
