AB “Civinity” Secures Approval for Bond Programme

AB “Civinity” has secured approval from the Bank of Lithuania for its base prospectus regarding a bond programme. The programme, titled “Civinity Bond Programme,” aims to issue bonds with a nominal value of up to EUR 26,650,000, which will be admitted to trading on a regulated market. The bonds will have a maturity of up to four years and will carry a total nominal value of up to EUR 50,000,000 (ISIN LT0000134413).

This approval comes after the Bank of Lithuania had previously approved a similar programme. As of 23 September 2026, Bonds with a value of EUR 23,350,000 under the same programme had already been issued. Specifically, on 17 July 2025, Bonds with a value of EUR 10,350,000 were issued under an exemption provided by Article 1(4)(d) of Regulation (EU) 2017/1129 (the Prospectus Regulation), which allows for an offer of securities to investors who acquire securities for a total amount of not less than EUR 100,000 per investor. On 17 June 2026, Bonds with a value of EUR 13,000,000 were issued in accordance with the prospectus approved by the Bank of Lithuania on 18 July 2025.

The remaining amount of Bonds that may be issued and admitted to trading on the regulated market of AB “Nasdaq Vilnius” under this Prospectus is EUR 26,650,000. All Bonds issued under the programme will carry the same ISIN code of LT0000134413. According to the terms of the Prospectus, the securities referred to in this notice have not been and will not be registered under the US Securities Act of 1933, as amended, and may not be offered or sold in the United States or to persons in the United States, unless such securities are registered under the Securities Act or an exemption from the registration requirements of the Securities Act is obtained.

The approval of the Prospectus should not be regarded as an endorsement of the quality of the Bonds to be admitted to trading on a regulated market. Prospective investors are advised to read the Prospectus before making an investment decision so that they understand all the potential risks and returns associated with the decision to invest in the Bonds.
